Terms of Use

OffMarket.Deals is an off-market real estate marketplace. Sellers and wholesalers submit property opportunities, and registered members get access to them. These Terms of Use are the agreement between you and OffMarket.Deals for using this website and the emails we send. By creating an account, submitting a deal, or otherwise using the site, you agree to these Terms.

They work alongside our Privacy Policy, which explains what information we collect and how we use it. If anything here is unclear, email us at deals@offmarket.deals and we'll help.

Eligibility and your account

OffMarket.Deals is a marketplace for real estate professionals — wholesalers, investors, and sellers. It is not intended for anyone under 18, and we do not knowingly collect information from anyone under 18.

You sign in with your email address and a one-time code we email you — there are no passwords. You are responsible for keeping access to your email account secure and for activity that happens under your account. Some accounts are created by our team from contact lists we source or import, or when we set one up for you or list a property in your name as part of working with you; if that is how your account was created, you can manage or opt out of email at any time as described in our Privacy Policy.

Listings are seller-supplied

Every listing on OffMarket.Deals is submitted by the seller or wholesaler who provides it — including the address, price, property type, bedrooms, bathrooms, square footage, rent, description, photos, and access instructions. Our team reviews submissions for completeness, pricing, and overall viability before a deal is posted, but a review is not an independent verification: we do not independently verify the accuracy of seller-supplied information, and we do not guarantee the condition, availability, value, or legal status of any property.

Listings are provided on an "as is" basis for your evaluation. Any buyer must perform their own due diligence — including inspecting the property, confirming the numbers, and verifying title and any purchase agreement — before entering into a transaction. A deal marked expired or sold may remain visible on the site as a record rather than being removed.

Content you submit, and the license you grant us

You keep ownership of the content you submit. Photos you upload remain your property (or the property of whoever you obtained them from) — they are not the property of OffMarket.Deals. You are responsible for what you submit, and by submitting it you confirm that you have the right to use it: only upload photos you took, or that you otherwise have permission to use here.

So that we can operate and promote the marketplace, you grant OffMarket.Deals a non-exclusive, royalty-free, worldwide license to use, reproduce, adapt, display, and distribute the photos, descriptions, address, and other property information you submit, in connection with the listing and the marketplace. This license specifically includes republishing that content in the deal emails we send:

  • the weekly digest, which includes each new deal's title, price, main photo, and full street address; and
  • instant deal alerts (where enabled), which include the deal's full street address, the price and key figures, and an excerpt of its description.

This license lasts for as long as your listing (and any copy of it kept as a record) remains on the site or in messages we have already sent. It does not change who owns the content.

What is public and what is not

When you submit a deal, different parts of it are treated differently:

  • Public to anyone — a listing's title; its photos (the optimized copies described below); price; city, state, and ZIP; property type, bedrooms, bathrooms, square feet, and total units; the full description; and any external photo-gallery link on the listing. If you enter a monthly rent, it is shown on the homepage listing cards as a rent figure and a gross yield derived from that rent and the price. On those homepage cards, a deal with no monthly rent may instead show a short highlight label authored by our team. Pre-approved lending terms (a lender name and loan figures, authored by our team) are also shown publicly on a listing when present. All of this is visible whether or not a visitor is signed in.
  • Signed-in members only — the full street address, the comp-report link, and the seller-contact affordance. On the website the real street address is shown only to signed-in members: on the homepage and deal feed an anonymous visitor sees an obscured placeholder in place of the street, and on a deal's own page an anonymous visitor sees a "create a free account to unlock the full address" prompt instead. The real street is never sent to an anonymous visitor.
  • Never reachable by a link — the purchase contract you upload is stored for our team and is never displayed on the site or served by any URL. We keep your original photo files as you uploaded them, but the copies we serve are optimized and have their embedded metadata (which can include location data) removed; the original files are not served to anyone.
  • Collected but kept for our team — the access instructions you provide are not shown on any public page.

Note that the deal emails described above include the full street address, and they reach registered members — including contacts we have added who have not signed in. In other words, the website withholds the street address from anonymous visitors, but a deal we email is sent to recipients with the address included. See our Privacy Policy for how we handle this information.

Fees

Submitting a property is free. OffMarket.Deals earns a fee only when a transaction closes. When you submit a purchase agreement, you (as the contract owner) agree to pay OffMarket.Deals a flat $2,000 fee at the time of closing for providing an end buyer for the submitted purchase agreement, and OffMarket.Deals acts as liaison between the contract owner and the buyer. You pay nothing unless the deal closes.

Agreeing to this fee is a required step of submitting a deal. In our admin-assisted ("white-glove") flow, where a member of our team lists a property in your name at your request or as part of working with you, that team member agrees to the $2,000 fee on the contract owner's behalf as part of listing the deal.

Acceptable use

When using OffMarket.Deals, you agree not to:

  • submit content you do not have the right to use, or that is false, misleading, unlawful, or infringes anyone's rights;
  • misrepresent a property, its price, or your authority to list or sell it;
  • use the site to discriminate against any person in violation of fair housing or other laws;
  • attempt to defeat, bypass, or interfere with the site's security, bot-defense challenge, or rate limits;
  • scrape, harvest, or use automated means to access the site beyond ordinary use, or to collect other members' or listings' information;
  • interfere with the site's operation, or use it to send spam or malware; or
  • use the site for any purpose other than evaluating and transacting real estate opportunities in good faith.

Suspension and termination

We may suspend or close an account, and remove or decline to post a listing, at our discretion — for example, if we believe these Terms or the law have been violated, or to protect the site and its members. You can stop using the site at any time and can opt out of our email in one click or by emailing deals@offmarket.deals. Some records and listings may be retained after an account closes, as described in our Privacy Policy.

Disclaimers and limitation of liability

The site, the listings, and the emails are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. OffMarket.Deals does not warrant the accuracy or completeness of seller-supplied listing information, and is not a party to, and does not guarantee, any transaction between a buyer and a seller. We are not responsible for the conduct of any buyer, seller, or wholesaler.

To the maximum extent permitted by law, OffMarket.Deals and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, arising out of or relating to your use of the site or any listing or transaction. Nothing in these Terms limits any liability that cannot be limited under applicable law.

Equal Housing Opportunity

OffMarket.Deals supports and complies with the federal Fair Housing Act and the principles of Equal Housing Opportunity. All properties listed on the site are offered without regard to race, color, religion, sex, disability, familial status, or national origin, and we do not knowingly accept any listing that expresses an unlawful preference, limitation, or discrimination.

Real estate licensee disclosure

OffMarket.Deals is operated by Rob Bergeron, owner of offmarket.deals, a licensed Kentucky Real Estate Sales Associate with Winner Realty (License #219325), based in Louisville, Kentucky. OffMarket.Deals is a listing and marketing marketplace; except for the liaison role and the fee described above, it is not a party to the transactions between buyers and sellers.

Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, where OffMarket.Deals is operated, without regard to its conflict-of-laws rules. If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.

Changes to these Terms

We may update these Terms from time to time. When we do, we'll change the "last updated" date above, and your continued use of the site after a change means you accept the updated Terms.
